Setting up in Abu Dhabi vs Dubai: ADGM and the capital

The question founders usually ask is “which UAE freezone should I choose?”, and nine times out of ten the conversation centres on Dubai. That is not wrong, Dubai has the volume, the infrastructure and the widest range of freezone options. But Abu Dhabi is not simply a quieter version of Dubai, and for certain businesses it is the right answer, not the second-best one.

What makes ADGM different from a Dubai freezone?

Abu Dhabi Global Market (ADGM) sits on Al Maryah Island and operates as a federal financial free zone, the same designation that applies to DIFC in Dubai. The practical consequence is that ADGM runs its own legal and regulatory framework, grounded in English common law, with its own courts and its own financial regulator (the Financial Services Regulatory Authority, or FSRA).

This matters for two reasons. First, contracts and structures formed under ADGM law are governed by a system that international investors, fund LPs and institutional counterparties recognise and trust. Second, the FSRA can license activities, fund management, investment advisory, payment services, insurance, that UAE mainland or standard freezone licences cannot cover.

Most Dubai freezones (DMCC, IFZA, Meydan and so on) are commercial and trade-focused. They are excellent for consultants, e-commerce businesses, holding companies and general trading. They do not license regulated financial activities.

When does ADGM make sense?

The clearest cases are financial services businesses. If you are establishing a fund, running an investment management operation, setting up a family office, or building a regulated payments or lending business, ADGM is almost certainly where you should be looking, ahead of any Dubai freezone, and arguably alongside or ahead of DIFC depending on your specific activity.

Abu Dhabi also matters for businesses with close ties to government or sovereign entities. The capital is where the Abu Dhabi Investment Authority (ADIA), Mubadala and the Abu Dhabi government sit. If your business development strategy involves those relationships, proximity and jurisdiction signal something.

A growing cluster of tech and innovation businesses are choosing Abu Dhabi too, partly because the Abu Dhabi government has been aggressive in attracting companies with incentives. ADGM’s Hub71 is the specific vehicle here, a tech startup ecosystem with its own support structures.

When does Dubai win?

For the majority of founders, consultants, online businesses, e-commerce operators, holding companies, digital agencies, coaches and remote operators of most descriptions, Dubai freezones are the practical and cost-effective answer. Options like IFZA and Meydan keep costs lower while still offering solid substance, straightforward visa pathways and good banking access.

Dubai also has more freezone choice. If you need a sector-specific licence (media, healthcare, logistics, crypto), there is usually a Dubai freezone built around it: SHAMS for media, DMCC for commodities and crypto, Dubai Science Park for life sciences. Abu Dhabi has its equivalents, but the breadth is not the same.

The mainland question

Both Dubai and Abu Dhabi have mainland options via the DED (Dubai Economy and Tourism) and ADDED (Abu Dhabi Department of Economic Development) respectively. Mainland gives you the right to trade anywhere in the UAE without a local service agent, which matters if you are selling to UAE government entities or want to open physical retail. For most international founders building a portable business or holding structure, freezone, in either emirate, is the right starting point.

The decision in practice

Activity determines jurisdiction. If your business involves regulated financial services, institutional fund structures or a reason to be inside English common law with direct FSRA oversight, ADGM belongs at the top of your list. If you are building a commercial business, a holding structure or a location-independent operation, Dubai’s freezone ecosystem is likely the better fit, more options, sharper costs, more established banking relationships.

What does not work is choosing ADGM because Abu Dhabi sounds prestigious, or avoiding it because you assume Dubai is always cheaper or simpler.
